DSC (Digital Signature Certificate) renewal and Director KYC (DIR-3 KYC) are the two most-missed compliance items for a Pvt Ltd. The DSC expires every 2 years. The renewal is a simple form. The DIR-3 KYC is annual, due 30 September. The filing is 8 fields and a digital signature. Both are simple. But the consequences of missing are disproportionate. This post is the quick reference. The companion deep-dive, Director KYC (DIR-3 KYC): penalty and deadline, covers the penalty math and the 2024-25 Aadhaar authentication change.

DSC Renewal

The DSC is issued by one of seven Certifying Authorities (eMudhra, nCode, SafeScrypt, CDAC, MTNL, TCS, IDRBT). The validity is 2 years from the date of issue. Renewal is online. No physical visit is needed if you have the existing DSC token.

The Renewal Process

  1. Login to the Certifying Authority’s portal — eMudhra, nCode, etc.
  2. Select “Renew DSC” — enter the existing DSC details or the licence number.
  3. Pay the renewal fee — typically ₹500–₹2,500 for 2 years.
  4. Complete the eKYC — Aadhaar OTP or video verification.
  5. Download the renewed DSC — the new certificate is downloaded to the same token (USB or ePass).
  6. Update the MCA portal — login with the renewed DSC; the portal accepts the renewed certificate.

The renewal takes 1–2 working days. The renewed DSC has the same PAN / identity but a new validity period.

What Happens if You Miss the Renewal

If the DSC expires and you try to sign an MCA filing, the signature is rejected. The MCA portal does not allow filing with an expired DSC. The fallout:

  • Annual return (AOC-4, MGT-7) cannot be filed.
  • Director change filings (DIR-12) cannot be filed.
  • Director KYC (DIR-3 KYC) cannot be filed.
  • Any MCA filing requiring the director’s signature is blocked.

The fix is to renew the DSC and re-attempt the filing. Late fees may apply for the missed deadline.

Common Mistakes

  • Waiting until the last day. The renewal is online, but the Certifying Authority’s portal can be slow. Renew at least 7 days before the expiry.
  • Renewing with the wrong Certifying Authority. The renewal must be done with the same Certifying Authority that issued the original DSC. If you issued with eMudhra, renew with eMudhra.
  • Not updating the PAN / Aadhaar. If the director’s PAN / Aadhaar has changed, the renewed DSC must reflect the new details. The Certifying Authority will reject the renewal if the details do not match.

Director KYC (DIR-3 KYC)

DIR-3 KYC is the annual KYC that every director of every Indian company must file with the MCA. The form is on the MCA portal under MCA Services → Director Services → DIR-3 KYC.

The Information Required

The form requires 8 fields:

  1. Director’s name.
  2. Father’s name.
  3. Date of birth.
  4. PAN.
  5. Aadhaar (with consent for authentication).
  6. Permanent address.
  7. Present address.
  8. Mobile number and email.

The form is signed by the director using DSC and authenticated by Aadhaar OTP. The filing is instant.

The Deadline

The deadline is 30 September of every year. For FY 2024-25, the deadline was 30 September 2024. For FY 2025-26, the deadline is 30 September 2025.

The MCA sends a reminder to the director’s registered email and mobile number 30 days before the deadline. If the director has changed email / mobile, the reminder is not received.

The Penalty

Under Rule 13 of the Companies (Appointment and Qualification of Directors) Rules, 2014:

  • Late fee of ₹5,000 per director per filing instance (after the 30 September deadline).
  • Deactivation of DIN — the director’s DIN is marked as non-compliant. The director cannot act as a director in any company until the KYC is filed.

For a 2-director Pvt Ltd missing the KYC for 3 consecutive years, the cumulative penalty is ₹30,000 (2 × 5,000 × 3) plus the deactivation of both DINs.

The 2024-25 Change

From FY 2024-25, Aadhaar authentication by the director is mandatory. The Aadhaar OTP must be received on the mobile number linked to Aadhaar. If the director’s Aadhaar mobile is out of date, the KYC cannot be filed.

The fix: update the Aadhaar mobile through the UIDAI portal (5–7 days online) and re-attempt the KYC.

Common Mistakes

  • Missed deadline. The 30 September deadline is strict. No grace period.
  • Aadhaar mobile out of date. The KYC fails at the OTP step. Update Aadhaar first.
  • PAN name mismatch. The director’s PAN name must match the Aadhaar name. Mismatch is rejected.
  • DSC expired. The KYC must be signed with DSC. An expired DSC blocks the filing.
  • DIN already de-activated. A DIN de-activated in a previous year cannot be used for a new KYC. Apply for a new DIN through DIR-3.

The Joint Calendar

For a director of a Pvt Ltd, the annual compliance calendar is:

Item Deadline Penalty
DSC renewal Every 2 years from issue date None, but blocks all filings
DIR-3 KYC 30 September every year ₹5,000 per director; DIN deactivation
Form DIR-8 (declaration of non-disqualification) Before the AGM Defective return notice
Form MBP-1 (disclosure of interest) First board meeting of the FY Defective return notice
Form AOC-4 (financial statements) Within 30 days of AGM ₹200 per day; ₹1,000 per day for FY 2024-25 onwards
Form MGT-7 (annual return) Within 60 days of AGM ₹200 per day; ₹1,000 per day for FY 2024-25 onwards

The DSC renewal and DIR-3 KYC are the most commonly missed. They have a fixed annual cycle that does not align with the AGM cycle. Setting a calendar reminder 60 days before the DSC expiry and 30 days before the 30 September KYC deadline eliminates the risk.

The Workflow for a Director

For each director of every company where they are a director:

  1. DSC validity — check the DSC validity. Renew at least 30 days before expiry.
  2. PAN / Aadhaar match — confirm PAN name matches Aadhaar name. Update either if mismatch.
  3. Aadhaar mobile — confirm mobile number is current. Update via UIDAI if needed.
  4. DIN database — login to MCA portal, confirm DIN is active and KYC status is current.
  5. Calendar reminders — set 30 August, 1 September, 15 September reminders for the 30 September KYC deadline.

When to Get Help

If a director has DINs in multiple companies, the KYC must be filed for each company separately. The form is the same, but the filing is per company. The DSC is also separate (one DSC can be used across multiple companies).

For a director with multiple directorships, the compliance load is meaningful. A tax expert / expert-led team typically tracks the deadlines and files the forms.

We routinely handle DSC renewals and DIR-3 KYC for directors. Our annual compliance service covers the calendar tracking, the reminder generation, and the form filings. Share your DIN and your company CINs on WhatsApp for a no-charge assessment.

Frequently Asked Questions

How do I renew my DSC online?

Log in to the certifying authority’s portal (eMudhra, nCode, etc.), select “Renew DSC,” enter the existing token details, pay the renewal fee (₹500–₹2,500 for 2 years), and complete eKYC via Aadhaar OTP or video verification. The process is entirely online — no physical visit required if you have your existing DSC token.

What happens if my DSC expires?

Once expired, you cannot use the DSC to sign any documents. Any forms filed with an expired DSC are treated as unsigned and are invalid. You will need to apply for a fresh DSC. The certificate of the director whose DSC expired may also be de-activated on the MCA portal.

Is DIR-3 KYC the same as DSC renewal?

No. DIR-3 KYC is a separate annual filing that confirms your personal details (PAN, Aadhaar, nationality, residential address) are current on the MCA records. It must be filed separately for each company where you are a director — even if your DSC is valid.

What is the penalty for not filing DIR-3 KYC?

If DIR-3 KYC is not filed by 30 September of each year, the DIN of the director is marked as “ceased” — they can no longer file any forms on the MCA portal, sign annual returns, or incorporate new companies. Restoration requires filing Form DIR-3 KYC with a penalty.

Can I use the same DSC for multiple companies?

Yes. One valid DSC (e.g., a Class 2 or Class 3 certificate) can be used to sign documents across multiple companies — as long as the DSC holder is a director or authorised signatory in each company. The DSC holder’s name and PAN must match the director’s records on MCA.
