TL;DR

Class 3 DSC, DSC application via certifying authority, and DIN allotment through SPICe+ or DIR-3.

Every director of an Indian company needs two numbers. These are the Digital Signature Certificate (DSC) and the Director Identification Number (DIN). MCA uses these to verify and track every person on a company board.

Without both, you cannot incorporate a company. You cannot file an annual return. You cannot sign any MCA form.

What Is a Digital Signature Certificate (DSC)

A Digital Signature Certificate is an electronic signature. It authenticates the identity of the signer. On the MCA portal, every form must be digitally signed using a valid DSC. The MCA does not accept physical signatures on any filed form.

DSCs in India are issued by Certifying Authorities (CAs). These CAs are licensed by the Controller of Certifying Authorities (CCA) under the Information Technology Act 2000.

Types of DSCs for MCA filings:

  • Class 2: used for e-filing with the Expert and income tax department. This type is being phased out in favour of Class 3.
  • Class 3: the current standard for MCA filings. Highest security level. Required for all company incorporations, annual filings, and DIN applications.

A Class 3 DSC for an individual is valid for 2 years. It costs between ₹500 and ₹3,000 depending on the certifying authority. It also depends on whether you choose a hardware token or software-based signature.

Certifying Authorities for DSC

Seven Certifying Authorities are licensed to issue DSCs in India.

  1. eMudhra (most popular for MCA filings).
  2. nCode Solutions (nSil_sys).
  3. SafeScrypt.
  4. CDAC.
  5. MTNL.
  6. TCS.
  7. Institute for Development and Research in Banking Technology (IDRBT).

Of these, eMudhra and nCode are the most commonly used for MCA-related filings. Their portals allow you to apply online. You can complete e-KYC verification. You receive the DSC within 1 to 2 working days.

How to Apply for a Class 3 DSC

Step 1 — Application Form

Fill out the DSC application form on the certifying authority’s portal. You will need to provide your full name, PAN, email, phone number, and residential address.

Step 2 — Identity and Address Verification

Submit self-attested copies of your PAN card, Aadhaar card (for identity verification), passport (for address verification), and photograph.

Step 3 — e-KYC or In-Person Verification

For Class 3 DSC, you must either complete e-KYC using Aadhaar with OTP verification. Or appear in person before a Registration Authority (RA) for verification. Or submit a video-based verification as allowed by some certifying authorities.

Step 4 — Receive the DSC

Once approved, you receive a hardware token (USB cryptographic device that stores your private key). Or you receive a downloadable software certificate with a password.

The hardware token is more secure. It is recommended for directors who will sign multiple MCA forms.

Step 5 — Install and Use

Install the token driver. Sign files using the certifying authority’s signing utility or through your browser. The MCA portal supports DSC signing directly through Internet Explorer (for Java-based forms). It also supports the newer portal that works with software certificates.

What Is DIN (Director Identification Number)

DIN is a unique 8-digit number assigned by MCA to every person who is or intends to become a director of an Indian company. It is permanent. It stays with the individual for life. Even if they resign from all companies, the DIN remains active. It can be used for future directorships.

The DIN is not transferable. Each director has their own unique DIN.

Key rules about DIN:

  • No person can be a director of a company without a DIN.
  • One person can be a director of up to 20 companies (after the Companies Amendment Act 2023).
  • DIN must be quoted on every MCA form filed by the director.
  • Directors must complete annual DIN KYC (DIR-3 KYC) to keep the DIN active.

How to Apply for DIN

Method 1 — During Company Incorporation (SPICe+)

The easiest method. When filing SPICe+ (Form for Incorporation of Company), if you name yourself as a director and do not yet have a DIN, the SPICe+ form will generate a DIN application simultaneously with the incorporation application. You only need to fill in the DIN application details (personal information, father’s name, nationality, occupation) within the SPICe+ form.

This is the most common method for first-time directors.

Method 2 — Standalone DIR-3 Form

If you are already a director or want to apply separately, file Form DIR-3 on the MCA portal. This requires personal details (full name, father’s name, date of birth, nationality, gender), PAN card details, Aadhaar card details, address proof, photograph, and DSC signature of the applicant.

The form is signed using the applicant’s Class 3 DSC and submitted online. Processing time is typically 1 to 5 working days. After that, the DIN is allotted and displayed on the MCA portal.

Method 3 — DIR-3 KYC Web (Annual Update)

Every year, all directors must file DIR-3 KYC to confirm their DIN is active. This requires personal details verification against Aadhaar, mobile number and email verification, DSC signature, and ₹500 fee (waived if filed within the deadline).

If DIR-3 KYC is not filed, the DIN is marked as “Deactivated.” The director cannot file any MCA forms or be appointed as a director of any new company.

Common DSC and DIN Mistakes

DSC Mistakes:

  • Using a Class 2 DSC when Class 3 is required — forms will be rejected.
  • DSC of the company instead of the individual director — each director must sign with their own personal DSC.
  • Expired DSC — always check expiry before filing annual returns.
  • Wrong name on DSC — the name must match exactly as it appears on PAN and Aadhaar.

DIN Mistakes:

  • Not quoting DIN on DIN KYC forms correctly.
  • Filing DIR-3 KYC late — DIN gets deactivated and restoration requires additional filings.
  • Applying for DIN after being appointed — the appointment is invalid without DIN.
  • Quoting someone else’s DIN accidentally — this causes compliance issues for both parties.

DSC for Foreign Directors

Foreign nationals can also be directors of Indian companies. They need a Class 3 DSC (issued by Indian Certifying Authorities). For non-Resident Directors, they also need apostilled or notarised copies of identity and address proof. PAN card is mandatory — must be applied for if the foreign director does not have one.

Foreign directors without an Indian PAN cannot be appointed as directors of Indian companies. PAN is mandatory.

The DSC for foreign directors uses the same Certifying Authorities but requires additional verification steps for international applicants.

Token vs Software Certificate

Feature Hardware Token Software Certificate
Security Higher — private key never leaves the token Lower — private key on disk
Portability Requires physical token Downloadable — works on any computer
Cost ₹1,500-3,000 ₹500-1,500
Best For Directors of multiple companies One-time company setup
Renewal Replace token before expiry Download new certificate

For directors who will manage multiple companies or file many forms, the hardware token is more reliable and secure.

Key Takeaways

  • Every director needs a Class 3 DSC and a DIN before company incorporation or appointment.
  • Apply for both simultaneously via SPICe+ if incorporating a new company.
  • Renew your DSC before it expires — an expired DSC causes MCA form rejections.
  • File DIR-3 KYC every year before September 30 to keep your DIN active.
  • Keep your DSC token secure — it is legally equivalent to your handwritten signature.
